Terms of Service

1. Acceptance of Terms

By accessing or using the Embeden platform ("Service"), operated by WhitegloveAI LLC ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. Embeden is a product of WhitegloveAI LLC. These Terms apply to all users, including IP Holders who list datasets and Developers who access them via the API.

2. Description of Service

Embeden is a licensed intellectual property marketplace that enables IP Holders to list and license authoritative datasets (including building codes, legal standards, medical guidelines, and similar reference materials) and enables Developers to access those datasets programmatically through a REST API and Model Context Protocol (MCP) server.

3. IP Holder Obligations

IP Holders represent and warrant that: (a) they own or have the legal right to license all content they submit; (b) the content does not infringe any third-party intellectual property rights; (c) they will maintain accurate and up-to-date dataset information; and (d) they have paid the one-time onboarding fee required to activate their account.

Embeden retains 30% of all query revenue as a platform fee. The remaining 70% is remitted to IP Holders on a monthly basis, subject to a minimum payout threshold and applicable tax withholding.

4. Developer Obligations

Developers agree to: (a) use the API only for lawful purposes; (b) not reverse-engineer, scrape, or cache dataset content beyond what is permitted by the applicable dataset license; (c) keep API keys confidential and not share them with unauthorized parties; and (d) pay all usage fees incurred on a pay-as-you-go basis as described in the pricing documentation.

5. Prohibited Uses

You may not use the Service to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of any third party
• Transmit malicious code or interfere with the platform's infrastructure
• Resell or sublicense API access without written permission from Embeden
• Use dataset content to train AI models unless explicitly permitted by the dataset license

6. Payments and Billing

All payments are processed through Stripe. By providing payment information, you authorize Embeden to charge your payment method for all fees incurred. Fees are non-refundable except as required by applicable law or as expressly stated in these Terms. Embeden reserves the right to suspend access for non-payment.

7. Disclaimers

The Service is provided "as is" without warranties of any kind. Embeden does not guarantee the accuracy, completeness, or fitness for a particular purpose of any dataset listed on the platform. IP Holders are solely responsible for the content they submit.

8. Limitation of Liability

To the maximum extent permitted by law, Embeden's total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid to Embeden in the twelve months preceding the claim, or (b) $100 USD.

9. Termination

Embeden may suspend or terminate your account at any time for violation of these Terms. You may close your account at any time by contacting support. Upon termination, your right to use the Service ceases immediately.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association.
